Requests for company migrations and restorations

Under section 97(2)(b) of the Companies (Guernsey) Law, 2008, as amended (the "Law") (and section 94(2)(b) of the Law in respect of a supervised company), His Majesty's Procureur is required to confirm that she has no objection to the removal of a company, which is seeking to migrate out of Guernsey, from the Register of Companies.  Under section 371(1) of the Law, His Majesty's Procureur and His Majesty's Receiver General are given the opportunity to make representations regarding the restoration of a company to the Register of Companies. 

His Majesty's Procureur and His Majesty's Receiver General are pleased to receive correspondence relating to proposed company migrations and restorations. In order for such correspondence to be considered and the functions of His Majesty's Procureur and His Majesty's Receiver General under the Law to be discharged, this office will require receipt of the information detailed in the Law under sections 87 to 97 inclusive in respect of migrations and sections 371 to 373 inclusive in respect of restorations.

Kindly note that enquirers should allow a response time of at least twenty working days from complete supply of relevant information to His Majesty's Procureur and in the case of restoration applications, His Majesty's Receiver General.  This office should be grateful if enquirers factor in this timeframe and consider setting the date for lodging papers for the Royal Court only once the consent letter has been received.  Whilst His Majesty's Procureur and His Majesty's Receiver General will endeavour to review such requests within twenty working days of receipt of complete, relevant information, please note that this may not always be possible.
